ARTICLES OF INCORPORATION OF INTERNATIONAL SOCIETY FOR BIORECOGNITION TECHNOLOGY, INCORPORATED

The undersigned, being of the age of eighteen years or more, does hereby make and acknowledge these Articles of Incorporation for the purpose of forming a nonprofit corporation under and by virtue of the laws of the State of Maryland:

1. The name of the corporation is International Society for Biorecognition Technology, Incorporated.

2. The period of duration of the corporation is perpetual.

3. The said corporation is organized exclusively for the educational exchange of scientific, medical principles and progress in biorecognition technology, including for such purposes, the making of distributions to organizations under Section 501(c) (3) of the Internal Revenue Code or the corresponding section of any future Federal tax code.

4. The specific purposes for which the corporation is organized are: To support both regional and international meetings in the field of biorecognition technology to disseminate information to the public as well as to research institutions in biorecognition technology

5. The corporation shall have both individual and corporate membership. The corporation has no authority to issue capital stock.

6. The members of the sovereign council of the corporation shall be elected or appointed in the manner and for the terms provided in the bylaws.

7. No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to its members, trustees, directors, officers or other private persons, except that the corporation/organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of Section 501(c) (3) purposes. No substantial part of the activities of the corporation/organization shall be carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation/organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office.
Notwithstanding any other provisions of these articles, the corporation/organization shall not carry on any other activities not permitted to be carried on (a) by a corporation/organization exempt from Federal income tax under Section 501(c) (3) of the Internal Revenue Code (or corresponding section of any future Federal tax code) or (b) by a corporation/organization, contributions to which are deductible under Section 170(c) (2) of the Internal Revenue Code (or corresponding section of any future Federal tax code). Upon dissolution of the corporation the assets thereof shall, after all of its liabilities and obligations have been discharged or adequate provision made therefore, be distributed to a nonprofit foundation, association, trust or corporation which is organized and operated exclusively for scientific or educational purposes and which has established its tax exempt status under Section 501(c) (3) of the Internal Revenue Code, or corresponding section of any future Federal tax code.

8. The address of the initial registered office of the corporation in the State of Maryland is c/o FASEB, 9650 Rockville Pike, Bethesda, Maryland 20814; and the name of its initial registered agent at such address is Dr. Irwin Chaiken.

9. The number of councilors constituting the initial board of directors shall be eleven and the names and addresses of the persons who are to serve as the initial directors are:
